Cheerware Custom Order Terms

These terms apply only to custom products and custom manufacturing orders placed with Cheerware. They do not replace Cheerware’s general policies for standard retail purchases.

Effective Date: October 22, 2026

1. Custom Orders

Custom products are produced specifically for each customer according to the final approved order specifications and artwork.

The customer is responsible for reviewing and confirming all applicable order details before production, including product, mug color, quantity, artwork, spelling, text, design size, placement, shipping information, and other project specifications.

2. Quotes and Pricing

Quotes are based on the information available when the quote is prepared.

Unless otherwise stated, quotes are valid for 14 days.

Pricing may change if the customer changes the quantity, product, mug color, artwork requirements, packaging, shipping destination, delivery requirements, or other order specifications.

Applicable shipping charges, taxes, setup fees, plating fees, and other disclosed charges are the responsibility of the customer.

A revised quote may be required when order specifications change.

3. Minimum Order

Unless otherwise stated, the minimum custom mug order is 48 mugs.

4. Payment

Unless Cheerware agrees otherwise in writing, 100% payment is required before production begins.

Production will not begin until:

  • Required artwork has been approved

  • Required payment has been received

  • All necessary order information has been provided

Failed, reversed, disputed, or incomplete payments may pause production, fulfillment, or shipment.

5. Customer Purchase Orders

A customer purchase order may be used for administrative purposes, but terms printed on or incorporated into a customer purchase order do not modify or replace Cheerware’s terms unless Cheerware expressly accepts those terms in writing.

Any conflicting or additional terms contained in a customer purchase order or other customer document are rejected unless specifically accepted by Cheerware in writing.

6. Artwork Requirements

Customers are responsible for providing finished artwork suitable for production.

Cheerware may request replacement or revised artwork if submitted files are incomplete, low resolution, corrupted, improperly formatted, missing required elements, or otherwise unsuitable for production.

Artwork should comply with Cheerware’s current Artwork Guidelines, which may include requirements regarding file format, resolution, dimensions, fonts, transparency, and other production specifications.

Delays caused by incomplete or unusable artwork may affect the production and delivery timeline.

7. Artwork Preparation

The customer authorizes Cheerware to resize, crop, position, convert, separate, prepare, transmit, or otherwise technically modify submitted artwork as reasonably necessary to produce the approved order.

Material design changes will be presented to the customer for approval before production.

8. Artwork Approval

The final approved proof is the controlling production reference.

By approving a proof, the customer confirms that they have reviewed and approved the artwork, spelling, text, layout, design size, placement, mug color, and overall appearance.

The customer is responsible for identifying visible errors before approval.

Cheerware is not responsible for errors, omissions, spelling mistakes, customer design choices, or other details that were visible in and approved on the final proof.

Changes requested after artwork approval may require a revised proof, additional fees, new setup work, and changes to the estimated production timeline.

9. Electronic Approval

Approvals submitted through YoPrint, email, electronic signature, online portal, or other electronic means constitute written authorization and are binding on the customer.

The customer is responsible for ensuring that anyone approving an order or artwork on their behalf is authorized to do so.

10. Customer Artwork Rights

The customer represents and warrants that they own or have all necessary rights, licenses, permissions, and authorizations to use and reproduce all materials submitted or approved for the order, including:

  • Artwork

  • Logos

  • Trademarks

  • Photographs

  • Text

  • Names

  • Likenesses

  • Copyrighted material

  • Other intellectual property or proprietary material

The customer grants Cheerware and its employees, contractors, suppliers, and manufacturing partners a limited right to reproduce, prepare, transmit, and otherwise use those materials as reasonably necessary to quote, proof, manufacture, fulfill, and service the order.

11. Cheerware Does Not Verify Artwork Rights

Cheerware does not investigate or independently verify copyright ownership, trademark ownership, licensing, publicity rights, privacy rights, or other permissions associated with customer-supplied material.

The customer is solely responsible for obtaining all permissions and authorizations required for the materials they submit or approve.

Cheerware may request documentation showing that the customer is authorized to use submitted material.

12. Intellectual Property Indemnification

To the fullest extent permitted by law, the customer agrees to defend, indemnify, and hold harmless Cheerware, its owners, employees, contractors, suppliers, and manufacturing partners from claims, liabilities, damages, losses, costs, and reasonable legal fees arising from or relating to customer-supplied or customer-approved materials, including allegations of copyright infringement, trademark infringement, violation of publicity or privacy rights, or other unauthorized use.

13. Right to Refuse or Suspend Orders

Cheerware may refuse, suspend, or cancel an order if Cheerware reasonably believes that submitted content may:

  • Violate applicable law

  • Infringe intellectual property rights

  • Violate privacy or publicity rights

  • Contain unauthorized copyrighted or trademarked material

  • Be technically unsuitable for production

  • Violate Cheerware’s content standards

If an order is cancelled for these reasons before production, Cheerware may refund amounts not already committed to nonrecoverable costs.

14. Digital Proofs

Digital proofs are visual representations intended to show general artwork, layout, placement, color, and appearance.

Digital proofs are not physical pre-production samples.

The appearance of a digital proof may differ from the finished product due to screen settings, lighting, materials, inks, printing processes, glass characteristics, production conditions, and other manufacturing factors.

15. Color Matching

Exact color matching is not guaranteed.

Colors displayed on screens, shown in digital proofs, provided through reference files, or produced in previous orders may differ from finished production.

Pantone, RGB, CMYK, HEX, or other color references should be treated as targets or references unless Cheerware expressly guarantees a specific color standard in writing.

16. Manufacturing Variation

Custom manufacturing may result in reasonable variation between individual products and between production runs.

For glass and milk glass products, normal variation may include differences in:

  • Color

  • Opacity

  • Glass appearance

  • Shape

  • Dimensions

  • Surface appearance

  • Print position

  • Registration

  • Print color

  • Print size

  • Small bubbles, marks, or other characteristics inherent to glass manufacturing

Minor or normal manufacturing variations are not automatically considered defects.

17. Reorders

Cheerware does not guarantee that a reorder will exactly match a previous production run.

Differences may result from manufacturing batches, raw materials, suppliers, production conditions, printing equipment, inks, product sourcing, or other factors.

18. Quantity Tolerances

Cheerware will use reasonable efforts to provide the ordered quantity.

If Cheerware’s manufacturing partner uses standard overrun or underrun tolerances, Cheerware will disclose the applicable tolerance before production when practical.

The customer may be invoiced or credited based on the actual quantity produced or delivered when an approved quantity tolerance applies.

If Cheerware guarantees an exact quantity for a particular order, the order documentation will control.

19. Usable Quantity and Production Loss

Custom manufacturing may occasionally result in a small number of units that do not meet Cheerware’s quality standards due to breakage, printing defects, manufacturing defects, or other production issues.

If such issues reduce the usable quantity below the quantity ordered, Cheerware may, depending on the circumstances, replace the affected units, issue a credit or refund for the affected units, or provide another reasonable remedy.

A shortage or defect affecting a portion of an order does not automatically entitle the customer to replacement, reproduction, credit, or refund of the entire order.

20. Production Lead Time

Typical custom mug lead time is approximately 10 weeks after final artwork approval and payment.

Lead times are estimates unless Cheerware specifically agrees to a guaranteed production or delivery date in writing.

Production timing may be affected by order complexity, customer response time, supplier capacity, material availability, customs, freight, weather, carrier performance, and other circumstances.

21. Event Dates and Deadlines

Customers must disclose firm event dates or other critical deadlines before approving the order.

A requested delivery date, target date, event date, or estimated arrival date is not a guaranteed delivery date unless Cheerware expressly confirms the guarantee in writing.

Cheerware is not responsible for losses associated with a missed event or deadline when a guaranteed delivery date was not expressly agreed to in writing.

22. Customer-Caused Delays

Customer delays may extend production and delivery timelines.

Examples include delays in:

  • Providing artwork

  • Providing replacement artwork

  • Approving proofs

  • Confirming product or mug color

  • Confirming quantity

  • Making payment

  • Providing shipping information

  • Responding to questions

  • Providing other required information

Any previously estimated completion or delivery date may move accordingly.

23. Order Changes

Changes to artwork, quantity, mug color, product, shipping address, delivery requirements, packaging, or other specifications are effective only when accepted by Cheerware in writing.

Changes may require:

  • Revised pricing

  • Additional setup fees

  • New artwork approval

  • Additional production time

  • Additional supplier charges

Cheerware is not required to accept changes after production has begun.

24. Cancellation

Orders may generally be cancelled before production is submitted, subject to nonrecoverable costs already incurred.

Nonrecoverable costs may include setup, plating, artwork preparation, supplier charges, processing fees, materials, or other committed expenses.

Once an order has been submitted for production, cancellation is generally not available.

25. Custom Product Returns

Because custom products are manufactured specifically for each customer, custom orders are generally not returnable or refundable due to:

  • Change of mind

  • Customer preference

  • Approved artwork

  • Approved spelling or text

  • Approved color choices

  • Approved design choices

  • Normal manufacturing variation

This does not limit valid claims for material defects, incorrect products, or Cheerware errors.

26. Inspection Upon Delivery

The customer should inspect the order promptly after delivery.

The customer should verify quantity, product, artwork, condition, and visible damage before distributing, selling, or using the products whenever practical.

27. Claims

Claims involving damage, defects, shortages, incorrect products, or material deviation from the approved order must be reported to Cheerware within 7 calendar days of delivery.

Claims should include:

  • Order number

  • Description of the issue

  • Quantity affected

  • Clear photographs of affected products

  • Photographs of packaging when shipping damage is involved

  • Any other documentation reasonably requested by Cheerware

Failure to provide reasonable documentation may delay or prevent resolution of the claim.

28. Defects

Examples of conditions that may constitute a defect include:

  • Broken or cracked mugs

  • Materially incorrect artwork

  • Missing print

  • Materially incorrect product or mug color

  • Significant printing defects

  • Material deviation from the final approved proof

Normal production variation, slight color variation, minor print-position variation, customer-approved design choices, and reasonable characteristics inherent to glass manufacturing are not automatically considered defects.

29. Remedies

If Cheerware accepts a claim, Cheerware may, at its option and depending on the circumstances:

  • Repair the issue

  • Replace affected units

  • Reprint affected units

  • Issue a credit

  • Issue a partial refund

  • Issue a full refund where appropriate

A problem affecting only part of an order does not automatically entitle the customer to replacement or refund of the entire order.

To the fullest extent permitted by law, these remedies are the customer’s exclusive remedies for defective or incorrect custom products.

30. Shipping

The customer is responsible for providing complete and accurate shipping information.

Additional costs resulting from customer-provided address errors, rerouting, address changes, failed delivery, reshipping, storage, or similar issues may be charged to the customer.

Shipping and delivery dates are estimates unless specifically guaranteed in writing.

Cheerware is not responsible for carrier delays outside Cheerware’s reasonable control.

31. Shipping Damage and Loss

Customers should report visible shipping damage promptly.

When applicable, Cheerware may request photographs of:

  • Damaged products

  • Shipping cartons

  • Interior packaging

  • Shipping labels

Cheerware will reasonably assist with carrier or supplier claims where appropriate.

32. Taxes

Applicable sales tax or other taxes will be charged unless the customer provides valid resale or tax-exemption documentation before invoicing or payment.

33. Force Majeure

Cheerware is not responsible for delay or failure to perform caused by events beyond Cheerware’s reasonable control, including:

  • Natural disasters

  • Severe weather

  • Fire

  • War

  • Civil unrest

  • Government action

  • Labor disputes

  • Factory shutdowns

  • Port congestion

  • Customs delays

  • Transportation interruptions

  • Supply shortages

  • Material shortages

  • Carrier disruptions

  • Utility or technology failures

  • Other circumstances beyond reasonable control

Cheerware will use reasonable efforts to communicate material delays and resume performance when practical.

34. Limitation of Liability

To the fullest extent permitted by law, Cheerware will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from a custom order.

This includes, without limitation:

  • Lost profits

  • Lost revenue

  • Business interruption

  • Lost opportunity

  • Missed-event losses

  • Reputational damage

  • Losses arising from delayed delivery

To the fullest extent permitted by law, Cheerware’s aggregate liability arising from an order will not exceed the amount actually paid to Cheerware for the affected portion of that order.

35. No Other Warranties

Except for any express promises stated in the applicable quote, sales order, approved proof, or these terms, custom products are provided without additional warranties to the fullest extent permitted by law.

Cheerware does not guarantee that custom products will be suitable for a particular commercial purpose, event, resale program, or use unless expressly agreed to in writing.

36. Payment Disputes and Chargebacks

Customer approval records, artwork approvals, order records, invoices, payment records, emails, shipping records, tracking information, and delivery confirmation may be used by Cheerware to respond to payment disputes or chargebacks.

A customer’s later change of mind does not invalidate an approved custom order.

37. Order Documentation and Priority

The final approved order documentation governs the transaction.

If documents conflict, the following order of priority applies unless Cheerware agrees otherwise in writing:

  1. Final Cheerware Sales Order or Quote

  2. Final approved artwork proof

  3. These Custom Order Terms

  4. Other written Cheerware instructions or correspondence

Customer purchase order terms do not override this order of priority unless specifically accepted by Cheerware in writing.

38. Entire Agreement

The applicable Cheerware quote or sales order, approved proof, these Custom Order Terms, and any written amendments accepted by Cheerware constitute the agreement relating to the custom order.

Earlier drafts, mockups, estimates, discussions, or communications do not override the final approved documents.

39. Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

40. Survival

Provisions relating to payment obligations, intellectual property, indemnification, limitation of liability, dispute resolution, and other provisions that by their nature should continue will survive completion, cancellation, or termination of an order.

41. Changes to These Terms

The version of these Custom Order Terms in effect when the customer approves the applicable order will govern that order.

Future changes to Cheerware’s terms will not retroactively modify previously approved orders unless both parties agree in writing.

42. Governing Law

These terms and custom orders are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

Any legal proceeding relating to these terms or a custom order will be brought in a court of competent jurisdiction in Minnesota, unless the parties agree otherwise in writing.
